Working note · Cross-border decisions

What makes a cross-border conversation clearer?

A short framework for reducing misunderstandings before they become contractual or operational problems.

Make shared understanding explicit

Cross-border business can connect useful people, knowledge and capital. It can also amplify ordinary misunderstandings. Terms that seem obvious to one party may have different legal, accounting or operational implications to another.

Start with the right parties

Confirm the full legal name and role of each organisation involved. The person negotiating may not be authorised to sign; the company receiving a payment may not be the party responsible for performance. Keeping these distinctions explicit reduces ambiguity.

Separate jurisdiction from location

Where a meeting happens, where a company is incorporated, where a contract is governed, and where assets are held may all differ. A reliable summary should identify each of these separately rather than using a country label as shorthand for everything.

Define decisions and records

For each milestone, agree on the decision owner, approval threshold, evidence required and the document that records completion. If a milestone cannot be objectively checked, it is difficult to know when responsibilities move to the next stage.

Make commercial terms comparable

Payment currencies, fees, exchange-rate conventions, taxes, invoicing standards, and the timing of settlement can change the economics of a proposal. A shared term sheet should distinguish agreed items from those still under negotiation.

Plan for disagreement

Good arrangements consider disagreement before it occurs. Identify escalation contacts, governing terms, dispute-resolution procedures and document-retention needs with relevant advisers. This is part of basic operational resilience, not a sign of mistrust.

Close the loop

After a discussion, circulate a concise record of what was decided, which facts remain unverified, who owns the next step and the deadline for a response. That simple habit improves accountability across language and time-zone differences.
