FIELD NOTES

Define the Scope of Approval Before Acting

Distinguish proposing, checking, approving and executing so that the decision and its limits remain clear after the work is done.

01

What does permission to proceed include?

Agreement with a direction, allocation of a budget, acceptance of contract terms and permission to publish or pay are different decisions. Treating “please proceed” as permission for every subsequent step can create a gap between what was explained and what was done. Begin with a sentence identifying the action for which a decision is being requested.

The purpose is not to multiply approvals. It is to assemble the information needed for consequential actions, particularly those communicated externally or difficult to reverse. Distinguishing routine preparation from a later commitment can reduce repetitive questions while keeping the meaningful boundary clear.

02

Separate four stages

A person may fulfil more than one role while still recording what was checked at each stage. Authority to approve depends on organisational procedures and the particular matter, not a job title alone.

StageActionEvidence
ProposalExplain purpose, scope and alternativesAn identified proposal with assumptions
CheckExamine evidence, conditions and effectsFindings and unresolved questions
ApprovalDecide what may be executedVersion, scope, conditions and approver
ExecutionAct within scope and check the resultWork performed, outcome and differences

03

Separate interests from decision responsibility

The OECD Principles of Corporate Governance discuss monitoring and managing potential conflicts of interest, alongside reporting and oversight responsibilities. They do not prescribe one organisational form for every company. They offer useful questions for distinguishing the proposer’s interests from the decision being made for an organisation.

Where compensation or a referral fee is relevant, its existence alone does not determine whether the proposal is good or bad. Make the interest visible, identify who reviews it and explain which judgment it may affect. This article does not describe internal rules or practices at EXAM INVESTMENT or claim that AKIO HIRAYAMA has adopted this particular format.

04

A hypothetical example: design approval and publication

This is an illustrative example. A new website’s colours and layout have been approved, but its pricing text and launch date contain unresolved points. Approval of the design should not be expanded into approval of an unverified price or immediate publication.

Record the approved version and scope, then identify the conditions needed for release. If publication has already been authorised once stated conditions are satisfied, establish that those conditions have actually been met and proceed within them. If that cannot be established, leave the action pending instead of treating an assumption as evidence. The distinction is between a condition satisfied and a condition merely expected to be satisfied.

05

Assess later changes by meaning and effect

Correcting a spelling error differs from changing price, responsibility or scope. A visually small edit can alter a fact or commitment. Show the before-and-after difference and assess whether the existing approval covers it. New copy should not inherit approval solely because it appears in a previously approved layout.

Repeatedly asking a reviewer to reread identical material can also weaken the process. Separate unchanged material from the actual difference and focus the review on the latter. Retain the version and source documents with the approval; a date alone may not establish which text or design was considered.

06

Retain the evidence for a conditional approval

If permission is given to proceed once verification succeeds, connect the tested subject, criteria and result. Evidence from a different version, or an automated check alone, should not be substituted for every review required by the condition. Where several conditions apply, keep their states separate. Success in one cannot fill an unverified field in another. This lets a team use an existing conditional approval without asking for the same permission again, while still demonstrating why the next action is within scope.

07

Connect the approval to the result

After execution, compare the result with the approved action. If an abnormality or a later change appears, stop additional work and determine which part can safely be reversed without overwriting someone else’s changes.

An approval record is not a device for transferring blame. It is a shared description of the permitted action, the conditions surrounding it and the evidence that connects the decision to its outcome.
